Agreement to these terms

These Terms of Service (“Terms”) govern your use of MedWellPlus.com (the “Site”) and any purchase you make from [LEGAL BUSINESS NAME] (“MedWell Plus,” “we,” “us” or “our”). By using the Site or placing an order, you agree to these Terms, our Privacy Policy and our Disclaimer. If you do not agree, please do not use the Site.

Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site or make a purchase. Some products, including Research Division products, may have a higher age requirement and additional conditions (see Research Division terms).

Your account

You may create an account to place orders and track them. You are responsible for keeping your login details secure, for all activity under your account, and for making sure your information is accurate and up to date. Tell us right away if you believe your account has been accessed without permission. We may suspend or close accounts that violate these Terms.

Products and descriptions

We try to describe and display our products as accurately as possible. However, colors, packaging and details may vary slightly, and we do not warrant that every description is complete or error-free.

• Skincare products are cosmetic products. They are not intended to diagnose, treat, cure or prevent any disease.
• Storage and organizer cases must be used according to their instructions. They are not medical devices.
• All products are subject to availability, and we may discontinue or change products at any time.

Pricing and payment

All prices are listed in U.S. dollars and do not include applicable taxes or shipping unless stated. Taxes and shipping are calculated at checkout.

• Payment is processed by our third-party payment provider. We do not store your full card details.
• You confirm you are authorized to use the payment method you provide.
• If a price is listed incorrectly due to an error, we may cancel the order and refund any payment, even after confirmation.

Orders and acceptance

Your order is an offer to buy. An order confirmation email means we received your order — not that it has been accepted. We accept your order when it ships. We may refuse, limit or cancel any order (for example, for suspected fraud, pricing errors, stock issues, or concerns about intended use), and we will refund any payment for orders we cancel.

Shipping

We currently ship to [shipping regions — e.g. addresses within the United States]. Delivery times are estimates and not guaranteed. Returns and refunds

Research Division terms

When available, Research Division products are sold strictly for laboratory research use only. By purchasing them, you agree that:

• You are at least 21 years old [attorney to confirm] and are a qualified researcher or are buying on behalf of a qualified institution.
• You will not use, sell or provide these products for human or veterinary consumption, or for any use other than lawful laboratory research.
• You will store, handle and dispose of products in line with all applicable laws, regulations and safety practices.
• We do not provide dosing, administration or usage guidance, and will not answer questions requesting it.
• We may ask you to verify your eligibility, and may refuse or cancel orders at our discretion.
• You are solely responsible for any misuse, and you agree to indemnify MedWell Plus as described in Indemnification.

Telehealth services

Telehealth services are planned but not yet available. When launched, they will be provided by independent licensed healthcare providers and governed by separate terms of use and consent documents, which you will need to accept before using them.

Acceptable use

When using the Site, you agree not to:

• break any law or regulation, or encourage others to do so;
• place fraudulent orders or use someone else’s payment details;
• buy products for resale without our written permission;
• copy, scrape or misuse Site content, or interfere with the Site’s security or operation;
• post false, misleading, harmful or offensive content, including reviews.

Intellectual property

All content on the Site — including the MedWell Plus name, logo, text, images, graphics and design — is owned by or licensed to MedWell Plus and protected by intellectual property laws. You may view and print pages for personal, non-commercial use. Any other use requires our prior written permission.

Reviews and content you submit

If you submit reviews, comments or other content, you grant us a non-exclusive, royalty-free, worldwide license to use, display and reproduce it in connection with the Site and our marketing. You confirm your content is truthful and yours to share. We may edit or remove content at our discretion. Reviews must not include medical claims or health advice.

Third-party services and links

The Site may use or link to third-party services (such as payment processors, shipping carriers and other websites). We are not responsible for their content, policies or performance, and your use of them is subject to their own terms.

Disclaimer of warranties

To the fullest extent permitted by law, the Site and all products are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. See also our Disclaimer. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

Limitation of liability

To the fullest extent permitted by law, MedWell Plus and its owners, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Site or our products. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend, indemnify and hold harmless MedWell Plus and its owners, employees and partners from any claims, losses, damages and expenses (including reasonable legal fees) arising from your misuse of the Site or our products, your violation of these Terms, or your violation of any law or the rights of others.

Governing law and disputes

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules. These Terms, together with our Privacy Policy, Disclaimer and Shipping & Returns policy, are the entire agreement between you and MedWell Plus regarding the Site. If any part is found unenforceable, the rest remains in effect. Our failure to enforce any part is not a waiver. You may not transfer your rights under these Terms without our consent.
